  1. ATTENTION: READ CAREFULLY: By using, copying, or distributing the
  2. accompanying software you indicate your acceptance of the following
  3. Carthago Software Binary Freeware License Agreement ("Agreement").
  4.  
  5. 1. LICENSE. Carthago Software hereby grants you (each licensee is
  6.    addressed as "you") a non-exclusive, transferable license to use
  7.    its software product and accompanying documentation (the program's
  8.    object code and documentation are collectively referred to as the
  9.    "Software") on the following terms and only for non-commercial
  10.    purposes (see Section 2 below). You may:
  11.  
  12.    a. use the Software on any computer in your possession;
  13.  
  14.    b. make copies of the Software; and
  15.  
  16.    c. distribute the Software (subject to the requirements of Section
  17.    3 below) only in the form originally furnished by Carthago Software 
  18.    with no  modifications or additions whatsoever. If you have the 
  19.    slightest doubt that your copy of the Software is not original, you 
  20.    must contact Carthago Software for an original copy.
  21.  
  22. 2. LIMITATIONS ON LICENSE. The license granted in Section 1 is subject
  23.    to the following restrictions:
  24.  
  25.    a. The Software is to be used only for non-commercial purposes
  26.    unless you obtain Carthago Software's prior written consent. Prohibited
  27.    commercial purposes include, but are not limited to:
  28.  
  29.      (i) Selling, licensing or renting the Software to third parties
  30.      for a fee (by payment of money or otherwise, whether direct or
  31.      indirect);
  32.  
  33.      (ii) Using the Software to provide services or products to others
  34.      for which you are compensated in any manner (by payment of money
  35.      or otherwise, whether direct or indirect), including, without
  36.      limitation, providing support or maintenance for the Software;
  37.  
  38.      (iii) Using the Software to develop a similar application on any
  39.      platform for commercial distribution; or
  40.  
  41.      (iv) Using the Software in any manner that is generally
  42.      competitive with a Carthago Software product as defined by 
  43.      Carthago Software.

  45.    b. However, media costs associated with the distribution of the
  46.    Software may be recovered. You shall use your best efforts to
  47.    promptly notify Carthago Software upon learning of any violation 
  48.    of the above commercial restrictions.
  49.  
  50.    c. On each copy of the Software you must conspicuously and
  51.    appropriately reproduce Carthago Software's copyright notices (see 
  52.    Software for examples of such notices) and disclaimer of warranty; 
  53.    keep intact this Agreement and all notices that refer to this Agreement 
  54.    or any absence of warranty (whether written or interactively displayed);
  55.    and give any other recipients of the Software a copy of this
  56.    Agreement.

  58.    d. You may not modify, combine other commercial applications with,
  59.    or otherwise prepare derivative works of the Software.
  60.  
  61.    e. In order to preserve the value of the Carthago Software name and/or any
  62.    trademarks, service marks, trade dress adopted and/or used by 
  63.    Carthago Software from time to time, you shall not make use of any of 
  64.    them for any reason (e.g., with respect to an Additional File, in 
  65.    advertising, marketing your own products, press releases, or other publicity)
  66.    except solely as may be expressly authorized by this Agreement or by the 
  67.    prior written consent of Carthago Software.

  69.    f. Carthago Software, in its sole and absolute discretion, 
  70.    may have included a portion of the source code or online documentation 
  71.    of the Software. Except for any such portions, you shall not 
  72.    REVERSE ENGINEER, DECOMPILE, DISASSEMBLE, OR OTHERWISE REDUCE 
  73.    ANY PORTION OF THE SOFTWARE TO ANY HUMAN PERCEIVABLE FORM, except to 
  74.    the extent this restriction is prohibited by applicable law.

  76. 3. DISTRIBUTION: As used in this Agreement, the term "distribute" (and
  77.    its variants) includes making the Software available (either
  78.    intentionally or unintentionally) to third parties for copying or
  79.    use, including providing timeshare access. Each time you distribute
  80.    the Software, the recipient must expressly agree to comply with
  81.    these terms and conditions.  The recipient automatically receives
  82.    this license to use, copy, or distribute the Software subject to
  83.    these terms and conditions. You may not impose any further
  84.    restrictions on the recipients' exercise of the rights granted
  85.    herein. You are not responsible for enforcing compliance with this
  86.    Agreement by recipients.

  88. 4. TITLE. Title, ownership rights, and intellectual property rights in
  89.    and to the Software, and each copy thereof (including all
  90.    copyrights therein), shall remain in Carthago Software. The Software is
  91.    protected by the copyright laws of the United States and
  92.    international copyright treaties.
  93.  
  94. 5. NO Carthago Software OBLIGATION. You are solely responsible for all of your
  95.    costs and expenses incurred in connection with the distribution of
  96.    the Software, and Carthago Software shall have no liability, obligation or
  97.    responsibility therefor. Carthago Software shall have no obligation 
  98.    to provide maintenance, support, upgrades or new releases to you or to any
  99.    distributee of the Software.

  101. 6. NO WARRANTY. THE SOFTWARE IS LICENSED FREE OF CHARGE, AND 
  102.    THERE IS NO WARRANTY FOR THE SOFTWARE. CARTHAGO SOFTWARE 
  103.    PROVIDES THE SOFTWARE "AS IS," AND CARTHAGO SOFTWARE, ITS 
  104.    DISTRIBUTORS AND SUPPLIERS, AND ALL OTHER PERSONS WHO HAVE BEEN 
  105.    INVOLVED IN THE CREATION, PRODUCTION,  OR DELIVERY OF THE SOFTWARE, 
  106.    DISCLAIM ALL CONDITIONS AND WARRANTIES OF ANY KIND, EITHER EXPRESS,
  107.    IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, 
  108.    ANY CONDITIONS OR IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY 
  109.    QUALITY, AND FITNESS FOR A PARTICULAR PURPOSE. THE ENTIRE RISK AS 
  110.    TO THE RESULTS, QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH 
  111.    YOU AND YOUR DISTRIBUTEES. SHOULD THE SOFTWARE PROVE DEFECTIVE, 
  112.    YOU AND YOUR DISTRIBUTEES (AND NOT CARTHAGO SOFTWARE) ASSUME THE 
  113.    COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. CARTHAGO 
  114.    SOFTWARE MAKES NO WARRANTY OF NONINFRINGEMENT OF THE INTELLECTUAL
  115.    PROPERTY RIGHTS OF THIRD PARTIES.

  117. 7. LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL
  118.    THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL CARTHAGO SOFTWARE, 
  119.    ITS DISTRIBUTORS AND SUPPLIERS, OR ANY OTHER PERSON WHO HAS BEEN 
  120.    INVOLVED IN THE CREATION, PRODUCTION, OR DELIVERY OF THE SOFTWARE BE 
  121.    LIABLE TO YOU OR ANY OTHER PERSON FOR ANY GENERAL, DIRECT, INDIRECT, 
  122.    SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR OTHER DAMAGES OF ANY CHARACTER
  123.    ARISING OUT OF THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE
  124.    SOFTWARE, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, LOSS OF
  125.    PROFITS, LOSS OF DATA, OUTPUT FROM THE SOFTWARE OR DATA BEING
  126.    RENDERED INACCURATE, FAILURE OF THE SOFTWARE TO OPERATE WITH ANY
  127.    OTHER PROGRAMS, DAMAGES FOR LOSS OF GOODWILL, BUSINESS
  128.    INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER
  129.    DAMAGES OR LOSSES OF WHATEVER NATURE, EVEN IF CARTHAGO SOFTWARE 
  130.    HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

  132. 8. INDEMNIFICATION. You and your distributees shall defend, indemnify
  133.    and hold harmless Carthago Software, its distributors and suppliers, 
  134.    and all other persons who have been involved in the creation, production,
  135.    or delivery of the Software, from any claim, demand, liability,
  136.    damage award, suit, judgment, or other legal action (including
  137.    reasonable attorney's fees) arising out of your use, distribution,
  138.    modification, or duplication of the Software.

  140. 9. TERMINATION. The license granted hereunder is effective until
  141.    terminated by Carthago Software. You may terminate it at any time 
  142.    by destroying the Software. This license will terminate automatically 
  143.    if you fail to comply with the limitations described above. 
  144.    On termination, you must destroy all copies of the Software. 
  145.    The termination of your license will not result in the termination of 
  146.    the licenses of any distributees who have received rights to the 
  147.    Software through you so long as they are in compliance with the 
  148.    provisions of this Agreement.
  149.  
  150. 11. MISCELLANEOUS. This Agreement represents the complete agreement
  151.     concerning this license between the parties and supersedes all
  152.     prior agreements and representations between them. It may not be
  153.     amended. If any provision of this Agreement is held to be
  154.     unenforceable for any reason, this Agreement shall terminate. This
  155.     Agreement shall be governed by and construed under MYSTATE law
  156.     as such law applies to agreements between MYSTATE residents
  157.     entered into and to be 
  158.
